SEC Rules 17a-3 and 17a-4. Broker-dealers must capture, preserve, and produce records of business-related communications, including AI-assisted communications. Communications must be retained for at least three years, the first two in an easily accessible place. They must be stored in non-rewriteable, non-erasable (WORM) format or under the audit-trail alternative introduced by the 2022 amendments.
FINRA Rules 4511 and 3110. Member firms must preserve books and records, including business communications, and maintain written supervisory procedures. That includes AI tools used in connection with regulated activity, client communications, and business decisions.
MiFID II Article 16(7) and Market Abuse Regulation (MAR). Investment firms must record and retain electronic communications related to orders and transactions for a minimum of five years, with trade reconstruction capability within three days.
